HSR Amendments Intensify Merger Filing Burdens, Data Risk

On Oct. 10, the Federal Trade Commission and U.S. Department of Justice finalized and published a set of long-awaited changes to premerger notification rules under the Hart-Scott-Rodino Antitrust Improvements Act. The new rules will take effect in January 2025 and stand to significantly increase the time and cost involved in preparing an initial HSR notification.
